The topic of allocating knowledge and conduct is probably one of the longest and most controversially discussed problems of private law in modern times. The present paper not only deals with the general principles of such allocation, but also deals extensively with its application to various corporate transactions and thus with a particularly practice-relevant area. The added value of the paper lies above all in a stringent application of the general principles of allocation to concrete transaction constellations (which is often lacking in other practice-oriented papers).
