Description
The question of the attribution of knowledge of the supervisory board is becoming increasingly important with the growing importance of this body. A distinction must be drawn between the attribution of knowledge under national company law and under EU insider trading law. The attribution of knowledge of the supervisory board in the context of Art. 17 MAR also leads to the question of whether the supervisory board should not be granted its own responsibility for disclosure within the scope of its original competences. The thesis aims to answer these questions by comprehensively examining how knowledge of a modern supervisory board is handled. An attempt is made to derive an authorisation of the supervisory board to disclose the information from Art. 17 para. 1 sentence 1 MAR..
