Sustainability issues are becoming increasingly important at the annual general meeting. But what impact can a shareholder actually make? This dissertation examines the shareholder rights under the German Stock Corporation Act with regard to sustainability issues and their influence on corporate strategy. In particular, the shareholder rights to seek information or to make statements, the rights in relation to personnel, renumeration and amendments to the articles of association are analysed. Thereby, European legislation and practical examples are included. Based on these findings, the dissertation examines, whether the influence of shareholders with regard to the company’s climate transition plan (“Say on Climate”) should be strengthened.
