As the coronavirus crisis has shown in particular, companies can find themselves in existential difficulties as a result of sudden macroeconomic disruptions. If the company is organized as a limited liability company (GmbH) or a stock corporation (AG), the responsibility for crisis management lies primarily with the management or the board of directors.
This paper examines how the duties of conduct under corporate law to which managers are subject when managing corporate crises are specified in such a situation.
