Considering the uncertainties caused by the estimation of damages in cartel damage actions, companies increasingly follow an alternative approach – including a contractual lump-sum clause for cartel damages in standard business terms. The book explores the possibilities of including a lump-sum clause for cartel damages and gives practical advice for its wording. The focus lies on the validity of the clause. The standard of review is determined in light of the highly debatable restrictive approach that the BGH adopted for the review of standard terms in b2b contracts. The study pays special attention to the scope of the lump-sum damages clause and to the amount of the lump sum. It furthermore highlights the role of the clause within international contracts. The lump-sum clause for cartel damages could be of utmost importance for the interpretation of generally worded jurisdiction and arbitration agreements.
