A sharp rise in the extraterritorial regulation of business activity is leading to a situation in which board members of stock corporations are increasingly exposed to international conflicts of norms. The question as to the rules according to which these conflicts should be resolved has thus gained considerable importance. The study analyses such conflicts, categorises them into cases and examines the specific duties of the members of the management board. Here, the board members’ duty to obey the law plays an important role; this duty is examined as to its doctrinal foundation by means of a comparison with US company law. On this basis, the study develops solutions and practically helpful guidelines for prudent courses of action.
