Rechtsformwahrende Sitzverlegung, Verschmelzungen und Formwechsel von Personengesellschaften innerhalb der EU

This thesis addresses a gap in research: Partnerships have so far been largely ignored in research and legislation in international corporate law. However, cross-border mergers and changes to the legal form of partnerships are becoming increasingly important in practice. This is diametrically opposed to the legislative inactivity in this respect at national and European level. This study examines unclarified points in this regard de lege lata and de lege ferenda with concrete proposals.
It pays special attention to the compatibility of theory and practice. Theoretical depth and concrete, practical explanations highlight how the study’s findings can be implemented de lege lata as reliably as possible in legal terms.
De lege ferenda a form of codification at both national and European level is required, for which this work provides concrete standards and guidelines.
