Shareholder Activism im Rahmen der Hauptversammlung

The study addresses the phenomenon of "shareholder activism" in the context of the annual general meeting. In view of the current relevance of this phenomenon also in German capital market law, this highly innovative work is of great practical importance for legal advisors, companies and shareholders. By means of an analysis based on concrete measures, it is shown how activist shareholders can use the general meeting to implement concrete measures. The author develops a definition of "shareholder activism" as a working basis, including the American origin of the phenomenon. She uses concrete measures to shed light on the rights available to activist shareholders and elaborates the legal as well as practical limits in stock corporation and capital market law. The study concludes with an outlook on practice.
