Although approximately one third of world trade takes place within enterprises, we know only little about the institutional organisation of intra-firm trade. Using large multinational corporations as an example, the present book investigates the question which institutions are employed to resolve intra-firm trade conflicts. This study, which is both theoretical and empirical, first shows that against the backdrop of the organisational structure of modern corporations as well as the overall legal conditions of intra-firm trade, governance-structures within multinational enterprises have to meet special requirements. Furthermore, it elaborates which combinations of norms and dispute resolution mechanisms correspond most closely with those requirements. Finally, by integrating the described type of governance in a theory, which the author developed building on Williamsons transaction cost theory, an attempt is being made to give an answer to the question under what circumstances the integration of a transaction in a multinational enterprise is an efficient way to create legal certainty.
