As current examples demonstrate, hostile takeovers are also becoming more important in Austria and Germany. The main purpose of this work is to analyze critically US-American attack and defense measures for legality and practicality in Austria and Germany. An important aspect thereby is the market for corporate control. The changed takeover rules in Austria, Germany and in the European Union are also considered. Then the discussion paper for a German takeover law is described and critically discussed.
