The stock corporation act and capital market law are fields of law that have been affected by continuous change and development of the normative structures in recent decades. Thereby, the interdependence as well as the mutual influence are constantly increasing, so that these areas interact with each other as well as with the general civil law. The constellation of particular interest for this thesis is that a fine based on capital market law is imposed on a stock corporation, which then seeks recourse against its executive board. Taking into account the postulate of the unity of the legal system, an attempt is made to uncover identical structural features and valuations in order to develop a stringent solution.
