Avoiding the liability of the group as an economic unit, which is characterized by European law, is a concern of every company. However, there is a discrepancy between liability and the ability to exert influence on affiliated companies, particularly in the de facto stock corporation groups. In order to overcome this discrepancy, lawyers have increasingly been using so-called relationship agreements in recent years. The study deals with the legal admissibility of these, focusing on the competencies of the companies managing bodies and the law on groups of companies.
