According to widespread opinion, the restriction of transferability of company shares has no effect in foreclosure and insolvency. The assumptions underlying this view will be examined and partially refuted. In doing so, the foundations for the validity of transfer restrictions in foreclosure and insolvency will be elaborated and the handling of transfer restrictions in both situations will be discussed in more detail. The aim is to strike an appropriate balance between the interests of the creditors and the interests of the company and not just to prioritize one interest.
