Innovation decisions are the archetype of entrepreneurial decisions. They must be made with the acceptance of a high proportion of non-knowledge, but in the event of success they enable an exceptionally large individual and overall economic benefit that is essential for competitiveness in a market economy. Despite this importance, the risk of liability according to § 93 of the German Stock Corporation Act (AktG), is particularly high in the case of innovation decisions. This thesis examines the conflict potential of board liability with regard to innovation decisions and shows possible solutions to reconcile board liability and openness to innovation.
