Description
Corporate internal investigations are of considerable relevance for the detection of company-related criminal offenses. Their implementation is the responsibility of the Board of Management. Up to now, there have been no legal regulations regarding the structure and legal consequences of such investigations. The paper critically examines the effects of a draft codification concerning internal investigations on the duties of the board of directors. In doing so, the existing codifications in U.S. law are examined and a modified regulation proposal is submitted.
