This practical work uses concrete case studies to shed light on the possibilities and limits of additional bodies in the GmbH. It develops criteria for the classification of advisory boards, supervisory boards and administrative boards as corporate bodies and examines the legal consequences of their classification as such. The work focusses on the requirements for flexibility clauses on the establishment of corporate bodies as well as the question of whether legal consequences for establishing corporate bodies can be avoided by establishing advisory or other boards by contract. In individual cases, such arrangements prove to be an incorrect establishment of corporate bodies and are therefore ineffective.
The principles on the establishment and structuring of corporate bodies as well as the key questions on the classification of existing additional bodies are of equal benefit to academics and practitioners.
