Description
The thesis examines the shareholders’ liability for compensation claims acknowledged by the Bundesgerichtshof in its decision of January 24, 2012 (II ZR 109/11) and further developed in its decision of May 10, 2016 (II ZR 342/14). The thesis traces the development of the liability concept and examines its dogmatic basis. In addition, the thesis analyzes the requirements, addressees, and legal consequences of the personal liability of the shareholders and makes a proposal for an interest-oriented structuring of the liability. The thesis is rounded off with an examination of the statutory and non-statutory options with regard to shareholder liability.
