Discussion as to the scope and shaping of Pan-european law on major undertakings has recently been gaining ground. Specifically on account of the failure of year-long efforts surrounding a Union directive, the relevance of scientific dialogue on the subject of different concepts regarding law on major undertakings is becoming greater. Falcke"s analysis provides a bilateral comparison of the basic principles of French and German law on major undertakings, looks at limited companies, both AG and sociétés anonymes, while not leaving out of account limited liability companies i.e. GmbH and sociétés à responsabilité limitée. In the first section, the author expounds upon specific basic issues in French law on company groups. Further points he concentrates upon are, for example, issues surrounding start-up protection provided under the law on major undertakings, behavioural commitments vis-à-vis affiliates that apply to the management of major undertakings and company law information and monitoring tools within company groups. Finally, a comparison of systems rounds off the individual comparisons by inserting them into a complete framework.
