Die Prospektpflicht nach dem WpPG

The book describes the new rules in the German law on prospectuses provided by the Wertpapierprospektgesetz (WpPG) as the implementation of the EU Prospectus Directive and compares these new rules with the old rules on prospectuses in the Wertpapier-Verkaufsprospektgesetz and the Börsenzulassungsverordnung. Following an illustration of the background and the history of the EU Prospectus Directive the book describes the rules in the WpPG including their underlying provisions in the EU Prospective Directive and their objectives. The rules in the WpPG are being compared with the old rules on prospectuses and analysed whether they implement the EU Prospectus Directive correctly and achieve the objectives of the EU Prospectus Directive. In addition, the book includes an overview of selected innovations with regard to the required contents of prospectuses as provided by the EU Prospectus Regulation.
