Description
The work deals with the question of the corporate objective under stock corporation law, which is important for corporate law and corporate governance. The particular value of the work lies in the analysis of all relevant judgments of the BGH as well as the relevant judgments of the BAG and the BVerfG. The author works out that the typified profit objective forms the core of the corporate objective under stock corporation law according to the current state of case law. This has not previously been demonstrated in a methodologically comparable manner. Contrary to a widespread assumption in the literature, expenses for the benefit of the common good are only dutiful if they can be made economically plausible, at least in the long term.
