More than 200 years after the first time that stock corporation law was codified the formal requirement of notarising a German stock corporation’s initial articles of association is still in force. This book explores the origins, development and theoretical and practical reception of legal provisions which require(d) both a Ger-man stock corporation’s initial articles of association and any resolutions passed at one of its general meetings to be notarised in the Federal Republic of Germany. Its investigations unveil both previously unknown historical German stock corporation laws as well as their respective draft legislation. It also provides new insights into the purpose of such formal requirements, the consequences of notarisation defaults and minute-taking at so-called “mixed general meetings”, i.e. amongst other things into the process of formal requirements becoming autonomous over the course of time.
