Therefore, the question of the liability of the key entrepreneurial individuals towards the KG arises regularly. This dissertation analyses and unravels the liability of managing directors in the German Limited Liability Company & Limited Partnership (GmbH & Co. KG). The focus is not only on the dogmatic basis, but also on the examination of the conditions and limitations of liability. For this purpose, the existing corporate law literature and case law are critically examined and evaluated. Finally, a comprehensive concept of liability is determined.
