The distinction between the two classes of clubs has been controversial since the enactment of Sections 21 and 22 BGB. The controversial is based on two main disputes: Firstly, there are different understandings regarding the protection purpose of the Secrions 21 and 22 BGB and secondly, the definition and requirements of the term "commercial business" are debated in its details. Registered clubs are generally prohibited from maintaining a commercial business. This prohibitation is justified by the alleged insufficient protection of members and creditors provided by the applicalbe law. This paper examines whether there is still a need for such a prohibition by today's standards.
