Core Corporate Law – with this term, the work advocates a new understanding of corporate law, which has been adapted to European conditions, and for a private initiative for its implementation.
For this purpose, the European Model Company Act and the European Law Institute are subjected to a critical examination as regulatory and institutional perspectives against the backdrop of their US models, the Model Business Corporation Act and the American Law Institute. For the development of this new understanding of corporate law, the work deals with the theoretical foundations, the regulatory function as well as the contextual bindings of corporate law. At the same time, the new understanding of corporate law as Core Corporate Law makes it possible to outline the scope of the freedom of establishment.
